Terms of Service

Operating entity & governing law: DwellPay is operated by Arongame OÜ, registry code 12798262, Harju maakond, Tallinn, Pirita tee 26f-11, 12011, Estonia. These Terms are governed by the laws of Estonia, and any dispute not resolved informally is subject to the exclusive jurisdiction of the courts of Estonia.

These Terms of Service ("Terms") govern access to and use of the DwellPay platform (the Office web application and the Driver mobile application, together the "Service") by the organization that creates a DwellPay account ("you", "Organization"). By creating an account or using the Service, you agree to these Terms on behalf of your Organization.

1. The Service

DwellPay is a software platform that helps road transport carriers track vehicle waiting/detention time at customer facilities, automatically evaluate that time against configurable detention rules, and generate and deliver detention claim documents to customers. The Service is provided as-is for the Organization's own business use; DwellPay does not verify the accuracy of data (customers, facilities, rules, driver-entered evidence) that the Organization or its Drivers enter, and the Organization is responsible for the accuracy and lawfulness of the claims it sends to its own customers using the Service.

2. Accounts and users

The Organization is responsible for all activity under its account, including the actions of the Office users and Drivers it invites or provisions. The Organization must promptly remove access for any user or Driver who should no longer have it (for example, on termination of employment).

Each plan includes a limited number of vehicles that may be tracked at once; exceeding that limit requires upgrading to a higher plan. A new Organization automatically starts on a free trial; no payment is collected during the trial. If the Organization proceeds to a paid subscription, billing is handled by our payment processor, Stripe, and is billed monthly in advance. The Organization may change or cancel its plan at any time through the Billing section of the Service or by contacting support@dwellpay.app; a cancelled subscription remains active until the end of the current billing period, after which it is not renewed. Prices exclude any applicable taxes, which may be added at checkout depending on the Organization's location.

4. Acceptable use

You agree not to use the Service to: (a) send fraudulent or knowingly false detention claims; (b) attempt to access another Organization's data; (c) interfere with or attempt to bypass the Service's security controls; or (d) use the Service for any unlawful purpose. We may suspend or terminate accounts that violate this section.

5. Data and evidence

Location and evidence data captured through the Driver app (see our Privacy Policy) is captured only at explicit, Driver-initiated operational events and is used to support the Organization's own detention claims. The Organization is responsible for ensuring it has the appropriate lawful basis and, where required, notice to its own Drivers and customers for this processing, consistent with our role as a data processor acting on the Organization's instructions.

6. Intellectual property

DwellPay and its licensors own all rights in the Service itself (the software, design, and underlying technology). The Organization retains all rights in the business data it enters into the Service (customers, facilities, loads, evidence, and generated claim documents).

7. Availability and support

We aim to keep the Service available and will make reasonable efforts to notify Organizations of planned maintenance where practical, but we do not guarantee uninterrupted availability. Support requests can be sent to support@dwellpay.app.

8. Disclaimers and limitation of liability

The Service is provided "as is". To the maximum extent permitted by applicable law, DwellPay is not liable for indirect, incidental, or consequential damages, or for the accuracy of any detention claim generated from data the Organization or its Drivers entered. Nothing in these Terms limits liability that cannot lawfully be limited.

9. Termination

The Organization may stop using the Service and cancel its subscription at any time. We may suspend or terminate access for a material breach of these Terms, including a violation of Section 4 (Acceptable use), after reasonable notice where practical.

10. Changes to these Terms

We may update these Terms as the Service evolves. We will update the "Last updated" date above when we do, and will make reasonable efforts to notify active Organizations of material changes.
